Terms and Condition

Thank you for using Yarami. Yarami is a platform for property rentals and (hereafter referred to as ("the Site") which forms part of Yarami. For the purposes of this agreement, "the Site" and “Yarami” shall be used interchangeably. Before commencing with any transactions or requests on this platform, you must agree to the following terms and conditions:

1. Acceptance of Terms

a. These Terms and Conditions(T&C) govern the use of the Site"s services and establish the obligations of Users. The terms "you" and "User" refer to any person who visits the site or uses the available services, including Third-Party Vendors and their employees who use the services for personal or business use.

b. By accessing the Site or using its services, you agree to accept and comply with this (T&C) and any applicable guidelines related to the services. Additionally, by accessing the services on the Site through different channels such as telephone or email, you agree to comply with these (T&C) and any applicable posted guidelines relating specifically to the Services available on the Site.

c. If you object to this (T&C) or any modification thereof, you must stop using the Site immediately. Yarami reserves the right to enforce this (T&C) through any means it deems necessary, including litigation.

2. MODIFICATIONS TO THIS AGREEMENT

a. Yarami reserves the right to revise the (T &C) at any time and without prior notice to you. Such modifications shall take effect as soon as they are posted.

b. It is important that you stay informed of any changes to your contract with Yarami. The "(T&C)" link, which may be found at the bottom of each page on the Site, will take you to the most recent version of the (T&C).

3. ELIGIBILITY REQUIREMENTS

a. By using the Site, you represent that you are at least 18 years of age and that you have the legal right to enter into this agreement.

b. To be eligible to subscribe to an Installment Plan, you must be a registered user of the site, have a valid and verifiable email address and mobile telephone number, have duly verifiable means of identification, provide a valid delivery address and must live or work at an electronically verifiable address.

4. CONDUCT

a. In accessing the Site, you agree not to use the Site or its Services in any way that would contravene this (T&C), infringe on Yarami"s rights, or cause undue interference with another party"s use of the Site or its Services. You are further prohibited from engaging in any of the following conduct:

i. Posting or making available abusive or harassing Content intended to threaten, intimidate, or libel other Users or that is unrelated to the Site"s or Services" intended purpose.
ii. Attempting to obtain unauthorized access or information from another User"s account.
iii. Infringing on the legal rights or proprietary rights of any User or other party, including copyright, trademark, patent, trade secret, or other proprietary rights.
iv. Advertising or soliciting any User to buy or sell products or services, except as authorized by Oríkì Energy.
v. Using information obtained from the Site or its Services to contact, advertise, solicit, or sell to any User.
vi. Acting on behalf of a third party or transferring your profile or user ID to another.

b. Yarami reserves the right to deactivate User registration, at its sole discretion, for any reason, including but not limited to receiving reports or claims from third parties, legal or regulatory authorities, relating to such Content or User, or for no reason at all.

5. THE SERVICES

a. Yarami provides Nigerians a unique platform to connect with potential flatmates, find suitable apartments, and secure tenants. Leveraging advanced technology, Yarami matches individuals who share similar values and lifestyles, ensuring a harmonious living experience.

6. REGISTRATION REQUIREMENTS

a. To access and use this Site"s Services, Users must register with a valid email and provide Yarami with accurate, complete, and up-to-date registration information. Failing to provide such information that meets these standards shall constitute a violation of this (T&C), resulting in immediate suspension and possible termination of Users" Yarami accounts.

b. Users may not use the name of another person as a User ID with the intent of impersonation, nor select or use any name subject to any rights belonging to a person other than themselves without proper authorization. Users agree not to create a User ID that is offensive, provocative, vulgar, or obscene. In its sole discretion, Yarami reserves the right to refuse to register or cancel any User ID.

c. Users are solely responsible for maintaining the confidentiality of their Yarami User ID and password.

7. CUSTOMER TRANSACTIONS

a. For the purposes of this (T&C), a "customer" shall mean an individual or entity who has fulfilled all prerequisites and has an existing contractual relationship with Yarami. This contractual relationship may have been established through either financing the purchase of a product or taking delivery of a product through the Site.

b. As part of the transaction process, the customer shall be required to execute a Contract Agreement that will outline the terms and conditions of the transaction. The contract agreement shall include clauses that cover payment terms, default, delivery, warranty, and other pertinent items and shall legally bind the customer to those terms.

c. It is important to note that the customer contract agreement is a separate and distinct agreement from this (T&C), and the customer shall remain subject to the provisions of this (T&C).

8. THIRD-PARTY CONTENT

a. The Site may contain Content, features, and functionalities that may link you or provide you with access to information and content provided by third parties, including Third-Party Vendors, that are completely independent of Yarami.

b. Yarami makes no representation or warranty as to the accuracy, completeness, or authenticity of the information obtained from or contained in any such website, and under no circumstance will Yarami be liable in any way for content provided by third parties, including Third-Party Vendors, or for any loss or damage of any kind incurred as a result of the use of, or reliance upon, such content.

c. Yarami is an online platform for property rentals and flatsharing. Among other things, Yarami may provide those investors and beneficiaries with opportunities to contact Third-Party Vendors, including, but not limited to, installers, electricians and other contractors, and financiers (banks and other lending institutions) in order to receive additional information to facilitate transactions and installations, Yarami itself is NOT the product manufacturer and under no circumstance will Yarami be liable in any way for services or products provided by third parties, including Third-Party Vendors, or for any loss or damage of any kind incurred as a result of the use of, or reliance upon, such products or services.

9. PRIVACY POLICY

a. See Yarami’s Privacy Policy to learn about the types of information we may collect from you (including information that can be associated with a specific person and can be used to uniquely identify or contact a person, “Personal Information”), how we may use that information, how we store it and the steps we take to protect it, the circumstances under which we may disclose or transfer it, and the choices you have regarding submitting and maintaining the information you provide to us.

b. We urge you to read the Privacy Policy and to become familiar with our privacy practices. The most current version of the Privacy Policy can be reviewed by clicking on the "Privacy Policy" link located at the bottom of each page on the Site.

10. TRANSACTIONAL SECURITY

a. The Site utilizes state-of-the-art security measures to protect your personal and financial information. However, we do not guarantee the security of your information transmitted to our platform. Any transmission of personal or financial information is at your own risk.

11. INTELLECTUAL PROPERTY RIGHTS AND LICENSE.

a. All rights, titles, and interest in and to any intellectual property related in any way to the site is and shall remain the exclusive property of Yarami. For these purposes, the term “Intellectual Property” shall mean all of Yarami’s patents, patent applications, patent rights, copyrights, databases, data collections, inventions, methods, and processes (whether or not patentable), trade secrets, trademarks, and services mark.

b. Nothing on the Site or included in the Services should be construed as granting, by implication or otherwise, any license or right to use any service mark or trademark (individually and collectively, "Mark" or "Marks") displayed on the Site or as part of the Services, without the prior written permission of Yarami for such use.

c. The Marks may not be used to disparage Yarami, the other professionals, the applicable third party, or the products or services of such parties, nor shall they be used in any manner that may damage any goodwill in the Marks. Use of any Mark as part of a link to or from any site is prohibited unless Yarami provides written approval for the establishment of such a link.

12. DISCLAIMERS AND WARRANTIES

a. Yarami intends that the information on the Site and the Services be accurate and reliable; however, errors sometimes occur. In addition, Yarami may change and improve the information provided herein at any time. Under no circumstances will Yarami be liable for any loss or damage caused by your reliance on information obtained through the Site or the Services. You are responsible for evaluating the accuracy, completeness, or usefulness of any information, opinion, advice, or other content available through the Site or the Services.

b. The Site and its associated information, products, and services associated are provided "as is.". Yarami disclaims any warranty of any kind, whether express or implied, as to any matter whatsoever relating to the Site and the information, products, and services associated therein.

c. Neither Yarami nor its suppliers, providers, energy research professionals, or other professionals shall be liable for any direct, indirect, punitive, incidental, special, or consequential damages, death, or other injury arising out of or in any way connected with the Site and the information, products, and services associated therein or any delays in operation or transmission, or any failure of performance, any information, software, products, and services obtained through the Site or the services.

d. The above clause shall include but shall not be limited to reliance by you on any information obtained at the Site or the services or that result from mistakes, omissions, interruptions, deletion of files or emails, errors, or defects; viruses, worms, trojan horses, trap doors, or other code or computer programming routines that contain contaminating or destructive properties, or that are intended to damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system, data or personal information; or that otherwise arise out of the use of the Site or the services, whether resulting in whole or in part from breach of contract, tortious behavior, or negligence.

e. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you.

13. INDEMNITY

a. As a condition for using the Site and the Services, you agree to indemnify Yarami and hold it harmless from any and all liabilities, expenses, including attorneys" fees, and damages arising out of claims resulting from your use of the Site and/or Services, including, without limitation, any claims alleging facts that, if true, would constitute a breach by you of this Agreement.

14. PRODUCT WARRANTY.

a. The warranty provided by Yarami for the products are as specified in the Contract Agreement.

b. Yarami hereby warrants that during the warranty period, any defects or malfunctions arising from normal use of the products shall be repaired or replaced by Yarami, subject to the provisions of the Contract Agreement, which excludes any damages caused by wear and tear, lightning, power surges, negligence, or tampering.

15. CONFIDENTIAL INFORMATION.

a. Customer acknowledges that they may be exposed to certain confidential and proprietary information belonging to Yarami. The Customer agrees that they shall not use or disclose the confidential information without the prior written consent of Yarami and that this obligation shall remain in force both during and after the term of this TOU.

b. Furthermore, the Customer agrees that they shall not seek to decompile, deconstruct, or reverse engineer any information provided by Yarami under this Agreement.

16. ASSIGNMENT AND SUBCONTRACTING

a. The Customer agrees not to assign its rights or obligations under this Agreement without obtaining Yarami"s prior written consent. Yarami retains the right to assign this Agreement to any of its affiliates or by operation of law during the term of this Agreement.

17. FORCE MAJEURE.

a.Yarami shall not be in default or otherwise liable for any delay or failure of performance under this Agreement if said delay or failure is directly or indirectly attributable to circumstances beyond Yarami’s control. Such circumstances include but are not limited to acts of God, fire, floods, earthquakes, pandemics, strikes, lockouts or other labor disputes, or shortages of material or equipment or energy services, accidents, explosions, civil commotions, riots, wars, governmental regulations, or orders.

18. WAIVER.

a. Failure of any party to enforce any provision of these terms and conditions will not waive that party’s right to enforce that provision or any other provision. Such failure shall not be construed as a waiver of that provision or any subsequent breach thereof.

19. ERRORS AND DELAYS

a. Yarami shall not be held responsible for any delays or errors in response to requests resulting from factors beyond its reasonable control. This includes technical problems and incorrect email addresses provided by users of the service.

20. TERMINATION OF SERVICE

a. Yarami reserves the right to terminate the service at any time and without notice. We also retain the right to temporarily or permanently suspend user accounts if fraudulent activity or the violation of these terms and conditions is suspected.

21. DISPUTE RESOLUTION

a. If any disputes arise from loan transactions facilitated by the site, Yarami and the user agree to attempt to resolve them through mediation or arbitration. Any legal action taken due to disputes must occur in the jurisdiction where the transaction occurred.

22. GOVERNING LAW

a. These terms and conditions are governed by and interpreted in accordance with the laws of the jurisdiction where the loan transaction occurred.

23. ENTIRE AGREEMENT

a. The terms and conditions represent the entirety of the agreement between the user and Yarami concerning the use of the site. The site"s inability to enforce any provision of these terms and conditions does not waive its right to do so in the future.
